Concessions, Public-Private Partnerships and Works for Taxes

Our lawyers advise public and private clients in all matters related to concessions and PPPs, from the inception of the project itself, through the initiative stage (if applicable), the bidding process, the execution of the contract and the disputes arising therefrom.  Accordingly, we provide support in:

• Private initiatives;
• Participation in bids, including formulation of consultations, observations, proposals for changes to bases and draft contracts or appeals;
• Incorporation of the special purpose company and negotiation of related contracts, such as consortiums, operation, construction and, in general, taking care of the conditions precedent for the signing of the PPP contract;
• Contractual administration of concession contracts, with a focus on preventing risks and laying the groundwork for our client’s position in an eventual dispute to be solid;
• Advice and sponsorship to our clients in mediations, amicable composition processes and arbitrations related to concessions and PPPs; and,
• Concession financing.

Project Delivery System

Our lawyers specialize in structuring projects from their very conception. They ask, analyze and propose systems. According to the client’s needs and requirements, we develop and implement systems such as:

• Traditional (commissioning of the execution of the construction only),
• Design-Bid-Build (commissioning of engineering on the one hand and construction on the other, with a bidding process in between);
• Design and Construction (commissioning of engineering and construction as a whole);
• Project Management;
• Early Contractor Involvement;
• Projects implemented with Building Information Modelling (BIM); and,
• Integrated Projects (in which all the actors of a project participate proactively).

Construction Contracts

We have gathered in a single law firm the financial and project execution experience of our lawyers, so that our clients have advice in the structuring and negotiation of construction contracts in the following modalities: Turnkey Contracts, Guaranteed Performance Contracts, Product-in-Hand Contracts, CM, EPC and EPCM Contracts, Contracts with different payment modalities (Unit Prices, Lump Sum, Reimbursable Costs) and Customized Contracts (according to the type of project).

In addition, we have extensive experience in legal advice, implementation and use of international construction contract models such as FIDIC Contracts, NEC 3 and 4 Contracts (such as those applied for the infrastructure of the Pan American Games, a project in which we participated), among others.

Supplementary Contracts

Our experience in the contractual administration of infrastructure projects allows us to provide complete legal advice in the structuring and negotiation of engineering contracts, supply contracts, equipment rental contracts, assembly and installation contracts, technical assistance contracts, subcontracts and specific service orders.

Contract Administration

We offer direct and complementary services in the administration of construction contracts and related contracts in both private and public works. Our lawyers have experience in the administration of contracts for various infrastructure projects, both in the office and in the field.
